Commercial property broker

A commercial property broker (næringsmegler) is a broker who handles the purchase, sale and letting of commercial property: office buildings, retail premises, warehouses, hotels, logistics and development sites. Where an ordinary estate agent sells homes to consumers, the commercial property broker works with professional parties, and the deals are often larger, more complex and driven by investment logic rather than a home that someone will live in.

Commercial brokerage falls under the Norwegian Estate Agency Act, but when the assignment concerns commercial property and the client is a business, several of the consumer protection rules can be set aside by agreement. That gives the parties more freedom of contract than in an ordinary residential sale. Many commercial property brokers also work as transaction advisers without a traditional brokerage assignment, particularly in the largest transactions.

The key difference from residential brokerage is how value is set. A commercial property is valued mainly on the rental income it generates, capitalised with a yield (required rate of return). Long, secure leases with solid tenants give a low yield and a high value; short leases, vacant premises or weak tenants pull the other way. The commercial property broker therefore analyses leases, tenant mix, remaining lease term and market rent just as thoroughly as the building itself, and often delivers a valuation built on a cash flow model.

Commercial property is also often traded as a company transaction: instead of selling the property itself, the shares in the company that owns it are sold. That does not trigger the 2.5% document duty that an ordinary title deed does, but it also moves the company's history and obligations across to the buyer. Due diligence, a systematic review of legal, technical, financial and lease-related matters, is therefore central to a commercial transaction. The commercial property broker usually coordinates this process together with the buyer's and the seller's lawyers.
